Delivery and returns

1. Delivery

1.1 Delivery times
The delivery times indicated at the time of order are provided as a guide. CASPE undertakes to use all reasonable means to meet these times, but failure to do so shall not give rise to cancellation of the order, retention or penalty, unless otherwise agreed in writing beforehand.

Delivery times within the EU vary by destination country (generally 3 to 8 business days). Shipping costs are calculated based on weight, volume and destination country, and are communicated before the order is confirmed. The free shipping threshold applicable to mainland France does not automatically apply to the EU, unless stated otherwise on the order.

1.3 Shipping costs and free shipping
Delivery costs are calculated based on weight, volume, destination and the chosen mode of transport, and are indicated before the order is definitively confirmed.

Delivery is free (free shipping) for any order with a value equal to or greater than €350 excluding VAT, for a standard size and weight shipment, delivered in mainland France.

This free shipping does not apply:

- to orders under €350 excluding VAT,
- to non-standard, bulky, palletized shipments or those requiring special transport (e.g. bulky equipment, vehicles, medical furniture, etc.),
- to deliveries to French overseas departments and territories (DROM-COM) or internationally,
- to deliveries requiring an additional service (appointment, tail lift, upper floor, assembly, etc.).

In these cases, shipping costs are calculated and communicated to the customer before the order is confirmed.

1.4 Inspection upon receipt
If any Products and/or Equipment are missing, damaged or obviously non-compliant, the CUSTOMER or the Beneficiary must make all necessary reservations on the delivery note upon receipt of the Products and/or Equipment. These reservations must also be confirmed in writing to the carrier, with a copy sent to UNIMEDIS MEDICAL within two (2) business days of delivery to the Customer Service department. Failing this, the CUSTOMER is deemed to have accepted the Products without reservation.

No complaint will be accepted unless it is submitted to our Customer Service department (by email at serviceclient@unimedis.fr). It is the Buyer's responsibility to provide any supporting documentation. In accordance with Art. 133-3 of the French Commercial Code, it is the Buyer's responsibility to inspect their delivery.

1.5 Transfer of risk
Risk is transferred upon delivery of the products to the carrier, in accordance with the applicable Incoterms stated on the order confirmation.

A. Mainland France

Deliveries in mainland France are carried out under the standard conditions described in Article 1 (delivery times, free shipping from €350 excluding VAT for standard shipments, partner carriers).

French overseas departments and territories (DROM-COM) (Guadeloupe, Martinique, French Guiana, Réunion, Mayotte, etc.) are handled under the International Export conditions below (Article C), due to the specific customs and VAT formalities applicable to these territories.

B. European Union

1. Covered area
CASPE ships to all European Union Member States, subject to logistical feasibility for certain bulky or regulated products (vehicles, medical gases, etc.).

2. Intracommunity VAT

- Deliveries to a taxable business customer identified by a valid intracommunity VAT number are invoiced excluding VAT, in accordance with the exemption regime applicable to intracommunity deliveries (Article 262 ter of the French General Tax Code).
- The customer undertakes to provide a valid intracommunity VAT number at the time of order; CASPE reserves the right to verify it via the VIES system and to refuse the exemption if it is invalid.
- In the absence of a valid VAT number, or for non-taxable customers, French VAT is applied at the current rate.

3. Formalities
No customs formalities are required within the EU (free movement of goods), subject to compliance with the regulations specific to each Member State for medical devices (possible national registration, language of the instructions for use, etc.), which remain the customer's responsibility and liability.

C. International Export (Outside the European Union)

1. Covered area
CASPE may ship to destinations outside the EU (including French overseas departments and territories as defined by customs law, Switzerland, the United Kingdom, Africa, the Middle East, etc.), subject to a quote and prior confirmation of logistical and regulatory feasibility on a product-by-product basis.

2. Price and VAT
Export sales are invoiced excluding VAT, in accordance with Article 262-I of the French General Tax Code relating to exports, subject to CASPE producing the customs export documents (export declaration, proof of exit from EU territory).

3. Customs duties, taxes and import costs
Unless otherwise agreed, all export shipments are made under the DAP (Delivered At Place) or EXW (Ex Works) Incoterm, depending on the destination and commercial agreement:

- All customs duties, import taxes, local VAT and customs clearance costs applicable in the destination country are the sole responsibility of the customer, unless expressly stated otherwise on the quote or order confirmation.
- CASPE accepts no responsibility for the amount of these costs, which are determined unilaterally by the customs authorities of the destination country, and cannot be held responsible for any delay or customs hold-up beyond its control.
- It is the customer's responsibility to inquire, prior to placing an order, about the import regulations applicable in their country (customs duties, health authorizations, restrictions on the import of medical devices or emergency equipment).

4. Export documents
Depending on the destination and the nature of the products, CASPE may provide, upon request and if necessary at the customer's expense:

- export commercial invoice,
- customs declaration (EX1/DAU),
- certificate of origin,
- health or free-sale certificate, if required by the destination country,
- specific documents related to medical devices (CE certificate, declaration of conformity).

5. Restrictions and products subject to authorization
Certain products (notably medical gases, products classified as sensitive or dual-use equipment, emergency vehicles) may be subject to export restrictions, specific licenses, or may be excluded from certain destinations. CASPE reserves the right to refuse an export order if the applicable regulations do not allow it to guarantee compliance.

6. Delivery times
Export delivery times are provided as a guide and may vary significantly depending on the destination, carrier and local customs formalities (generally 5 to 15 business days). CASPE cannot be held responsible for delays related to customs processing in the destination country.

7. Payment
For export orders, payment in full upon order (credit card or advance bank transfer) is required by default, unless otherwise agreed in writing beforehand (see Article 4).

8. Returns and international warranty
Return costs (if applicable, see Article 2) and warranty fulfillment costs (see Article 3) for export orders are borne by the customer, including transport, customs and re-shipment costs, unless otherwise agreed in writing by CASPE.
Return and warranty rights are available below for Returns and Exchanges or by clicking here for warranties.

2. Returns and Exchanges

2.1 General principle
Orders placed by a business customer are firm and final upon confirmation. No return, exchange or refund will be accepted, except:

- prior written agreement by the company, or
- product non-compliant with the order (incorrect reference, manufacturing defect, product damaged upon delivery).

Any return request, even in these exceptional cases, must be submitted in advance by email, specifying the order number, the reference of the product concerned and the reason for the request.

2.2 Return procedure (accepted exceptional cases)

- The request must be submitted by email within 48 hours of receipt for a non-compliant product, or within 14 days in the event of an exceptional commercial agreement.
- No return will be accepted without prior written agreement and without a return authorization number (RMA) provided by CASPE.
- Returned products must be in their original condition, unused, in their intact original packaging, and accompanied by all accessories and documents provided.
- Return costs are borne by the customer, unless the return is due to an error or defect attributable to CASPE.

2.3 Products excluded from return
In accordance with the health and regulatory requirements applicable to the medical and paramedical sector, certain products may under no circumstances be returned, even in the event of an exceptional agreement:

- single-use or unsealed products,
- sterile medical devices whose packaging has been opened,
- personalized, custom-made or made-to-order/assembled products (notably UNIKITS kits),
- products subject to a cold chain once it has been broken.

2.4 Refund
If a return is accepted and validated by CASPE, the refund or credit note will be issued within 14 days of receipt and conformity inspection of the returned products, by the original payment method or by credit note, at CASPE's discretion.

2.5 Disputes
Any dispute relating to delivery or a return must be submitted in writing. Failing an amicable agreement, any dispute shall fall under the exclusive jurisdiction of the Paris Commercial Court, in accordance with the general terms and conditions of sale applicable between business customers.
