Distributor / Reseller Terms and Conditions

1. Purpose

Any professional customer wishing to purchase CASPE and/or UNIKITS products for resale (and not for their own professional use only) must first inform CASPE and obtain the status of "Authorized Distributor/Reseller".

2. Conditions for obtaining the status

The granting of distributor status is subject to validation by CASPE, based on criteria including, in particular, the applicant's activity, its marketing area, its ability to provide a service compliant with the regulatory requirements of the medical and paramedical sectors, and its commitment to comply with this charter.

3. Use of the UNIKITS brand

The authorized distributor is permitted to use the UNIKITS brand name and visuals strictly within the framework of marketing the products purchased from CASPE, to the exclusion of any use likely to create confusion about the origin of the products or to damage the brand's image. Any unauthorized use will result in the immediate revocation of distributor status.

4. Resale policy

The distributor agrees to:

  • market the products only to professionals in the healthcare, paramedical, or civil security sectors, in accordance with CASPE's B2B purpose,
  • comply with the conditions of use, storage, and preservation prescribed by the manufacturers, particularly for medical devices,
  • not modify, disassemble, or repackage UNIKITS kits under the UNIKITS name without prior written agreement,
  • refrain from any misleading or disparaging commercial practices towards CASPE or the listed brands.

5. Marketing areas

Unless otherwise agreed in a specific contract providing for territorial exclusivity, the distributor does not hold any exclusivity, and CASPE remains free to appoint other distributors or sell directly in any geographical area.

6. Duration and termination of status

Distributor status is granted for an indefinite period and may be suspended or revoked at any time by CASPE in the event of a breach of these conditions, without prejudice to any damages.

Effective as of July 19, 2026.
